Distribution Agreement Termination Dispute

Challenge

A Thai manufacturer and its regional distributor had reached an impasse following early termination of a multi-year distribution agreement. Both parties faced potential litigation costs exceeding the disputed amount.

Approach

Praya Vow conducted a preliminary assessment, established a pre-mediation process for document exchange, and facilitated two joint sessions over three weeks. The mediator reframed the discussion around future commercial arrangements alongside the termination claim.

Outcome

Settlement reached in the second session. The parties agreed to a structured payment schedule, a transition protocol, and a mutual non-disparagement clause. Total engagement: 5 weeks from initial contact to signed settlement.

Construction Contract Payment Dispute

Challenge

A construction contractor sought recovery of unpaid milestone payments and retention amounts from a project developer following substantial completion of a commercial building project in Bangkok.

Approach

Praya Vow prepared a statement of claim, organised site documentation and correspondence as evidence, attended three hearing sessions, and provided written submissions responding to the developer's counterclaim regarding alleged defects.

Outcome

Award issued in favour of the contractor for the full claimed amount less a minor defect remediation allowance. Award enforced without opposition. Total arbitration duration: approximately 7 months from notice to award.

International Arbitration Advisory · SIAC · 2025

Cross-Border Technology Licensing Dispute

Challenge

A Thai technology company engaged as respondent in SIAC proceedings brought by a foreign licensor. The dispute concerned royalty calculation methodology and alleged breach of exclusivity provisions. The governing law was Singapore, with performance evidence located in Thailand.

Approach

Praya Vow provided Thailand-nexus advisory counsel — supporting evidence collection, coordinating with Singapore-based lead counsel, identifying a technical expert witness on software licensing practices, and preparing an interim measures application to protect data access pending the award.

Outcome

The tribunal found in favour of the Thai company on the exclusivity claim and ordered a substantially reduced royalty recalculation. Praya Vow then supported the Thai client in addressing the New York Convention enforcement process for the consequent award on costs.
